1. Purpose
This Exclusive Commercial Lyrics License Agreement (“Agreement”) sets out the terms under which Kr07media / the Rights Holder (“Licensor”) grants the purchaser (“Licensee”) an exclusive commercial license to use the original lyrics identified above (“Work”).
The exact rights granted are limited to those expressly stated in this Agreement.
2. Grant of Exclusive License
Subject to successful payment and continued compliance with this Agreement, the Licensor grants the Licensee an exclusive license to commercially use the Work for the rights, media, territory and term specified in this Agreement.
During the applicable exclusive period, the Licensor will not grant the same specified rights in the Work to another party.
Unless expressly stated otherwise, this Agreement is a license and not a transfer of copyright ownership.
3. Copyright Ownership
Copyright and ownership of the original Work remain with the Licensor unless the parties execute a separate written copyright assignment agreement.
Purchase of this license does not automatically transfer copyright ownership to the Licensee.
The Licensee receives only the rights expressly granted under this Agreement.
4. Exclusive Rights Granted
Unless otherwise specified on the order or certificate, the Licensee may:
- Create a song or musical composition using the Work;
- Record and commercially release the resulting song;
- Perform the resulting song publicly;
- Distribute the resulting recording;
- Monetize the resulting recording;
- Use the resulting song in films, videos and audiovisual productions;
- Use the resulting song on streaming and digital platforms;
- Promote the resulting work through websites and social-media platforms;
- Make reasonable adaptations necessary to create the resulting musical work.
The Licensee may not claim ownership of rights that are not expressly granted.
5. Territory
The exclusive license territory shall be:
Worldwide
unless another territory is expressly stated on the applicable order, certificate or written amendment.
6. License Term
The exclusive license shall remain effective for:

The exact term should be recorded on the License Certificate.
If the term expires, the Licensee’s exclusive rights end unless renewed or otherwise agreed in writing.
7. Exclusivity
During the agreed exclusive term and within the agreed territory and rights scope:
- The Licensor will not commercially license the same specified rights to another party.
- The Licensor will not knowingly sell another exclusive license covering the same rights.
- The Licensee may commercially exploit the Work within the granted rights.
Exclusivity does not automatically prevent the Licensor from exercising rights that were expressly excluded from the exclusive grant.
8. Adaptation and Derivative Works
The Licensee may adapt the Work for the purpose of creating the licensed musical or audiovisual production.
Substantial rewriting, translation, transformation or creation of derivative literary works beyond the licensed purpose requires the Licensor’s written permission unless expressly included in the purchased license.
The original Work remains attributable to the Licensor unless otherwise agreed in writing.
9. Credits
Where commercially and technically reasonable, credit should be provided substantially as follows:

Where a specific credit is agreed, the credit specified on the License Certificate shall apply.
Platform limitations or production requirements may make exact placement impractical.
10. Registration and Rights Administration
The Licensee may identify the Work in connection with legitimate music, publishing or rights-administration registrations where permitted by the applicable registration organization.
The Licensee must not falsely represent themselves as the original creator or copyright owner of the Work where such representation would be inaccurate.
Any registration should accurately reflect the ownership and rights arrangement established by this Agreement.
11. ISWC, ISRC and Other Identifiers
An ISWC identifies a musical work and may be assigned through the appropriate collective management or rights-registration system.
An ISRC identifies a specific sound recording and is separate from the underlying lyrics.
Neither an ISWC nor an ISRC, by itself, transfers copyright ownership.
Where applicable, identifiers may be added to the License Certificate or associated rights records after they are legitimately assigned.
12. Restrictions
The Licensee may not:
- Sell or sublicense the original lyrics as a standalone lyrics product;
- Upload the original Work for unrestricted public redistribution;
- Represent the original lyrics as having been written by the Licensee;
- Transfer this exclusive license to another person without written permission, unless transferability is expressly granted;
- Grant rights exceeding those received under this Agreement;
- Use the Work for unlawful purposes;
- Remove or falsify rights-management information;
- Circumvent technical protection used to control authorized digital delivery.
13. Commercial Exploitation
The Licensee may commercially exploit the resulting work through permitted channels, including:
- Music streaming platforms;
- Digital music stores;
- Video platforms;
- Social-media platforms;
- Film and audiovisual productions;
- Live performances;
- Advertising and promotional campaigns;
- Other commercially permitted media.
Such exploitation remains subject to the rights and restrictions contained in this Agreement.
14. No Automatic Copyright Assignment
This Agreement does not constitute a copyright assignment unless a separate written assignment expressly states otherwise.
If the parties later agree to transfer copyright ownership, such transfer should be documented in a separate agreement identifying the specific rights being assigned.
15. Payment
The exclusive license becomes effective only after the applicable license fee has been successfully paid and the transaction has been confirmed by Kr07media.
The Licensee’s rights are subject to the payment terms displayed at the time of purchase.
16. Digital Delivery
After successful payment, Kr07media may provide:
- Licensed lyrics file;
- License Certificate;
- License ID;
- Verification URL;
- Other documents associated with the purchased license.
Digital delivery does not grant rights beyond those specified in this Agreement.
17. License Certificate
Kr07media may issue a digital License Certificate containing:

The certificate is evidence of the license transaction but does not expand the rights granted by this Agreement.
18. Verification
A license may be verified through the official Kr07media verification system.

The public verification page may display the license status, Work title, license type and other non-sensitive information.
19. Revocation and Termination
The Licensor may suspend or terminate the license where the Licensee materially breaches this Agreement, including unauthorized redistribution, fraudulent use, non-payment, unauthorized sublicensing or material misrepresentation of rights.
Where legally required or commercially appropriate, the Licensor may provide notice and an opportunity to cure a breach.
Upon valid termination, the Licensee must cease uses that are no longer authorized.
20. Effect of Termination
Termination does not automatically invalidate rights that cannot legally be revoked or obligations that by their nature survive termination.
Any previously created commercial exploitation shall be handled according to the applicable termination terms, written agreement and applicable law.
21. No Warranty of Third-Party Rights
The Licensor represents only the rights it is legally entitled to license.
The Licensee is responsible for obtaining any additional permissions required for:
- Music composition;
- Performers;
- Producers;
- Samples;
- Third-party recordings;
- Artwork;
- Trademarks;
- Film/video footage;
- Other third-party materials.
22. Independent Responsibilities
The Licensee is responsible for complying with applicable laws, platform requirements, tax obligations, collection-society requirements and other regulations relating to the Licensee’s commercial exploitation of the resulting work.
23. Transfer
This Agreement may not be transferred, assigned or sublicensed by the Licensee without the Licensor’s prior written consent unless transfer rights are expressly included in the purchased license.
24. Entire Agreement
This Agreement, together with the applicable product description, order information, License Certificate and any written amendments, constitutes the agreement concerning the licensed Work.
If there is a conflict, a separately signed written agreement concerning the same Work shall take precedence over general website terms.
25. Electronic Acceptance
By purchasing the Exclusive Commercial License, checking the applicable agreement-acceptance box, downloading the licensed material or otherwise accepting the license electronically, the Licensee acknowledges that they have reviewed and agreed to the applicable terms.
Electronic records of the order and acceptance may be retained by Kr07media.
26. Governing Law
This Agreement shall be governed by the applicable laws specified by the Licensor in its commercial terms or, where applicable, by the jurisdiction agreed between the parties.
For high-value exclusive transactions, the parties should execute a separately reviewed agreement identifying the governing law and dispute-resolution procedure.
